Explanatory Note

This Amendment No. 1 on Form 8-K/A amends the Current Report on Form 8-K filed on July 17, 2017 (the “Original Filing”) by IDEXX Laboratories, Inc. (the “Company”). The Original Filing reported, among other items, the appointment of Dr. Stuart M. Essig to the Company’s Board of Directors (the “Board”). At the time of the Original Filing, the Board had not made any determinations regarding committee assignments for Dr. Essig. The Company hereby amends the Original Filing to include information on the committee assignments in Item 5.02 below. Other than providing the additional information in Item 5.02 below, no other disclosure in the Original Filing is amended by this Form 8-K/A.


Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.


On October 18, 2017, effective immediately, the Board appointed Dr. Essig to its Compensation Committee and Nominating and Governance Committee, having previously determined that he satisfies all applicable requirements to serve as a member of those Committees.
